Illustration: Nvidia weighs guaranteeing debt for Nscale's West Virginia data center
Nvidia is in talks to guarantee billions in debt financing for AI cloud provider Nscale's planned data center in West Virginia, according to reports from The Information and Bloomberg. The proposed arrangement would make Nvidia a cosigner on Nscale's debt, with the chipmaker stepping in if Nscale defaults on construction payments, as the AI industry works to keep its buildout plans afloat while investors grow jittery about the amounts involved. Anthropic has signed a $44.6 billion contract for the first building of the campus, which is expected to use Nvidia's next-generation Vera Rubin chips.

The proposed guarantee would deepen Nvidia's financial ties to Nscale. Nvidia has already extended roughly $170 billion in investments and credit support to neoclouds and large customers, according to The Information, including $1 billion in convertible financing to Nscale in September. Nscale, which is seeking to go public at a valuation of up to $35 billion, has faced challenges delivering on its projects. As of August, it had about 25,000 advanced AI chips running, a fraction of the nearly 500,000 it plans to deploy. Its West Virginia campus has also run into trouble: runoff from construction has flooded nearby homes, and after months of negotiations it won state certification in September.

The proposed guarantee is a residual value guarantee, meaning Nvidia would take over the facility temporarily and help find a new buyer if Nscale defaults on construction payments, according to The Information. Nvidia's earlier support mostly covered leases and chip purchases rather than construction.

Microsoft this month pulled out of a planned Nscale site in England after grid power for it was pushed into the 2030s. Neoclouds have come under pressure from investors: shares of CoreWeave, Nebius, and IREN had each fallen more than 30% in October as of last week, CNBC reported.

Nscale and Anthropic are discussing a second deal worth roughly $45 billion for another building. One investor told The Information that Anthropic's involvement likely explains Nvidia's interest in keeping the project on track. Anthropic filed to go public this week, and Blackstone has warned investors that it may receive a below-investment-grade credit rating after its IPO. Such a rating would raise its borrowing costs and could push it to keep relying on stronger partners to back its debt.

Analysis

Why This Matters

  • The deal structure shows how chipmakers are becoming financiers to keep AI infrastructure growing despite investor caution.
  • Failure of Nscale's project could disrupt Anthropic's compute supply and Nvidia's chip sales.
  • The arrangement sets a precedent for how AI data center projects are financed, with potential risks to Nvidia if defaults occur.

Background

Nvidia has been a major financial backer of the AI industry, extending around $170 billion in investments and credit support to neoclouds. Neoclouds, which rent out AI computing power without the backing of a core business, have come under pressure as investors question the returns on massive infrastructure spending. Nscale, founded to provide AI cloud services, is seeking an IPO at up to $35 billion valuation but has struggled to deploy chips at scale.

Key Perspectives

Investor (speaking to The Information): Anthropic's involvement likely explains Nvidia's interest in keeping Nscale's project on track. Blackstone: Anthropic may receive a below-investment-grade credit rating after its IPO, which would raise its borrowing costs and push it to keep relying on stronger partners.

What to Watch

  • Whether Nvidia and Nscale finalize the guarantee, and how much debt it covers.
  • Nscale's ability to secure financing and meet its construction milestones, especially after environmental setbacks.
  • Anthropic's IPO valuation and credit rating outcome, which could affect its future infrastructure partnerships.
